CVAC Board Opportunity

The Comox Valley Airport Commission is currently seeking applications as nominees of Local Government Nominating Entities.

Comox Valley Airport Commission (CVAC) is a not-for-profit corporation that manages, operates and develops airport facilities in support of the economic growth of the Comox Valley, and greater catchment. The Authority ensures quality, safe, secure, sustainable and affordable air transportation services are provided to the airport's customers and communities.

The CVAC Board is a Governance Board. The property and business of the Commission shall be managed by the Board of Directors. Without restricting the generality of the foregoing, the Board of Directors is responsible for establishing the strategic direction of the Commission, for making major decisions for the Commission and for overseeing management of the Commission's business and affairs.

The Comox Valley Airport Commission's Board is broadly representative of the Comox Valley community and is comprised of nine Directors, nominated as follows:

Individuals with strong skills and experience in organizational governance are sought in the recruitment of directors.

Statutory Qualifications:

A person appointed to the CVAC board must be a "qualified Commission candidate" as defined in the Comox Valley Airport Commission By-Laws. Specifically, this means an individual who:
  • Does not hold elected public office;
  • Is not an employee, officer, director, elected official representing employees or tenants of the Comox Valley Airport;
  • Is not an employee of a municipal, provincial or federal government within the appointment area or other public jurisdictions including federal and provincial sectors; and
  • Is not a spouse or common-law partner of any individual referred to in the preceding paragraphs.

Core Competencies:

The most qualified candidates will possess the following core competencies:
  • Well-developed faculty for critical and strategic analysis;
  • Financial literacy, including an ability to read financial statements and ability to understand the use of financial ratios and other indices to measure performance;
  • Appreciation of the unique role of CVAC as the stakeholder of the Commission as set out in the Bylaws;
  • Thorough knowledge of the responsibilities and duties of a Director;
  • Ability to distinguish corporate governance from management; and
  • Demonstrated leadership skills from either voluntary or employed organizations.

Personal Attributes

  • Sound judgment;
  • High ethical standards and integrity;
  • Superior interpersonal skills;
  • Tact and diplomacy; and
  • Strategic thinker.

Education and Experience

  • Experience serving as a member of a board of directors for a significant public or private sector organization or an executive answerable to stakeholders in the public or private sector;
  • Experience in one or more of the following areas: accounting or finance; engineering; air transportation; public relations; law; communications; security management; community relations; stakeholder engagement; public policy development; and corporate governance; and
  • Strong business skills and judgment gained through experience in large commercial organizations would be considered an asset.

Knowledge and Skills

  • Knowledge of the mandate and business activities of CVAC and a good understanding of the legislative environment in which it operates;
  • Knowledge of corporate governance and best practices;
  • Financial literacy;
  • Knowledge in one or more of the following areas is beneficial:
    • Aviation/airline industry;
    • Design, construction, development;
    • Legal;
    • Technology;
    • Transportation
  • Ability to anticipate emerging issues and lead organizational change;
  • Ability to develop effective working relationships with other Board members, stakeholders; and
  • Superior communication skills, both written and oral.

Level of Board Activity

You must be willing to participate in a schedule of Board of Directors meetings as stipulated by CVAC, as well as any requirements for participation in sub-committees, annual general meetings, or other such duties as may be required.

Selection Process

Qualified candidates will be short-listed and the list shall be sent to the local governments, that is Town of Comox, City of Courtenay, Village of Cumberland and Comox Valley Regional District. These nominating entities will review the shortlist and supply their endorsement to the Governance Committee. The most qualified will be interviewed by the Governance Committee who will make recommendations to the Board of Directors.
